Terms of Service

Introduction

Sidub Inc. ("the firm," "we," "our," or "us") provides this website, the software it publishes, and the engagements it conducts under the terms set out here (collectively, the "Services"). Access to or use of the Services constitutes acceptance of these Terms, the Privacy Policy, and any additional terms applicable to a specific engagement or product. Those who do not accept these Terms should not use the Services.

Eligibility

Use of the Services requires that the user be at least eighteen years of age, or the age of majority in the user's jurisdiction, and possess the legal capacity to enter into these Terms.

Account Registration

Certain features require an account. Account holders agree to provide accurate and complete information at registration, to keep that information current, to maintain the confidentiality of their credentials, and to notify the firm immediately of any unauthorized use.

Use of the Services

The Services may be used only for lawful purposes and in compliance with applicable law. Use of the Services may not disrupt or interfere with their operation, may not employ automated means of access without the firm's prior written permission (except for legitimate workflows aligned to the firm's published guidelines), and may not transmit content that is unlawful, harmful, or infringing on the rights of others.

Intellectual Property

All content and materials available through the Services — including text, graphics, logos, and software — are the property of Sidub Inc. or its licensors and are protected by intellectual property law. Users are granted a limited, non-exclusive, non-transferable licence to access and use the Services for personal or internal business purposes in accordance with these Terms and any applicable licence agreement.

User Content

By submitting any content to the Services ("User Content"), the user grants Sidub Inc. a non-exclusive, worldwide, royalty-free licence to use, reproduce, modify, display, and distribute that content as required to provide the Services.

Responsibility for User Content rests with the user. The user represents that they hold the rights necessary to grant the licence above and that the content does not violate any law or third-party right.

Privacy

Use of the Services is also subject to the Privacy Policy, which is incorporated into these Terms by reference.

Termination

Sidub Inc. reserves the right to suspend or terminate access to the Services at its sole discretion, without notice, for conduct that the firm reasonably believes violates these Terms or is harmful to other users, to the firm, or to third parties.

Disclaimers

To the fullest extent permitted by applicable law, the Services are provided "as is" and "as available," without warranties or conditions of any kind, express or implied. The firm does not warrant that the Services will meet a user's requirements, that they will be uninterrupted, timely, secure, or error-free, or that defects will be corrected.

Limitation of Liability

To the maximum extent permitted by applicable law, Sidub Inc. and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, or use — arising out of or in connection with the use of the Services. In no event shall the firm's total liability exceed fifty Canadian dollars (CAD $50.00), regardless of the cause of action.

Indemnification

The user agrees to indemnify and hold harmless Sidub Inc., its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses — including reasonable legal fees — arising out of or connected with the user's access to or use of the Services, or any violation of these Terms.

Force Majeure

Sidub Inc. shall not be liable for any failure or delay in performance arising from circumstances beyond its reasonable control, including acts of God, war, terrorism, civil unrest, governmental action, labour dispute, or natural disaster.

Governing Law and Jurisdiction

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Services is subject to the exclusive jurisdiction of the courts located in the Province of Ontario.

Changes to These Terms

These Terms may be revised from time to time. Material revisions are reflected by an updated "Last updated" date and posting of the revised Terms on this site. Continued use of the Services following such a revision constitutes acceptance of the revised Terms.

Notices

Notices under these Terms shall be in writing and are effective upon personal delivery, confirmed email, or delivery by recognized courier to the firm at the addresses listed below.

Entire Agreement

These Terms, together with the Privacy Policy and any additional terms accepted by the user, constitute the entire agreement between the user and Sidub Inc. regarding the Services and supersede all prior agreements. In the event of a conflict between these Terms and a specific licence agreement — such as the Proprietary Software License Agreement — the licence agreement prevails with respect to the software or service it governs.

Severability, Waiver, Assignment

If any provision of these Terms is found invalid or unenforceable, it shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect. Failure to enforce any right or provision does not constitute a waiver of that right or provision. Users may not assign or transfer their rights or obligations under these Terms without the firm's prior written consent; the firm may assign its rights and obligations without restriction.

Governing Language

These Terms are written in English. Any translation is provided for convenience; the English version prevails in case of discrepancy.
